Terms of Service
Please read these terms carefully before using the CEXRES platform.

1. Acceptance of Terms
By accessing or using cexres.com ("the Platform"), you agree to be bound by these Terms of Service. CEXRES is operated by a Hong Kong registered entity. If you do not agree to these terms, please do not use our services.
2. Service Description
CEXRES provides AI-powered brand automation and consulting engine services. Our platform operates as a fully automated engine delivering data-driven brand strategies, performance monitoring, and growth optimization through five interconnected loops: Acquisition, Service, Delivery, Payment, and Review.
3. Subscription Tiers
Core engine access with essential AI brand analysis tools.
Advanced automation with ROI optimization and performance share.
Enterprise-grade with dedicated AI models and priority support.
Full ecosystem partnership with equity options (1-3%).
4. Performance Share
For tiers including a performance share component, CEXRES calculates the share based on verified revenue growth directly attributable to engine outputs, measured through our proprietary attribution system. Performance share is calculated monthly and billed in arrears.
5. Data Ownership
You retain full ownership of all data you provide to the Platform. CEXRES processes this data solely to deliver engine services. Our use of your data is governed by our Privacy Policy.
6. Intellectual Property
CEXRES's proprietary AI models, algorithms, and engine architecture remain our exclusive intellectual property. Output generated by the engine for your brand is licensed to you for commercial use under your subscription tier.
7. Termination
Either party may terminate with 30 days written notice. Performance share obligations survive termination for the quarter in which termination occurs. Upon termination, you retain access to all generated reports and data for 30 days for export purposes.
8. Limitation of Liability
Our liability is limited to fees paid in the 3 months preceding any claim. We are not liable for indirect, consequential, or punitive damages, including lost profits or business interruption.
9. Governing Law
These terms are governed by the laws of Hong Kong SAR. Disputes shall be resolved through arbitration in Hong Kong under HKIAC rules, with proceedings conducted in English.
